1. Acceptance of Terms

By accessing vertekx.com, requesting a consultation, or entering into an engagement with us, you accept these Terms on behalf of yourself and any organization you represent. If you do not agree, please do not use our website or services. Where a signed agreement or statement of work (“SOW”) exists between you and Vertekx, that agreement governs and prevails over these Terms to the extent of any conflict.

2. Our Services

Vertekx provides software development, artificial intelligence and automation, DevOps, and ongoing maintenance and support, together with related consultancy. The specific scope, deliverables, timelines, and fees for any engagement are defined in a proposal or SOW agreed between the parties.

Our website and its content are provided for general information. We may update, add, or discontinue features and content at any time without notice.

3. Engagements, Fees & Payment

• Each engagement is governed by its proposal or SOW, which sets out scope, deliverables, milestones, and pricing.
• Fees are payable as stated in the applicable SOW or invoice. Unless agreed otherwise, invoices are due within the period stated on the invoice.
• Changes to agreed scope may affect timelines and fees and will be handled through a mutually approved change request.
• Late or non-payment may result in suspension of work and services until amounts are settled.

4. Client Responsibilities

To enable us to deliver successfully, you agree to:

• Provide timely, accurate information, access, and materials needed for the engagement;
• Designate a responsible point of contact for decisions and approvals;
• Ensure you have the rights to any data, content, or systems you ask us to work with;
• Use the delivered software and services in compliance with applicable laws and the agreed terms.

5. Intellectual Property

Upon full payment, and unless the applicable SOW states otherwise, custom deliverables created specifically for you are assigned or licensed to you as described in that SOW. Vertekx retains ownership of its pre-existing tools, frameworks, know-how, and any general components not created exclusively for your engagement, and grants you a license to use them as part of the delivered solution. Third-party and open-source components remain subject to their own licenses. The Vertekx name, logo, and website content remain our property.

6. Confidentiality

Each party may receive confidential information from the other. Both parties agree to protect such information, to use it only for the purposes of the engagement, and not to disclose it to third parties except to those who need it and are bound by comparable obligations. These duties continue after an engagement ends. This section does not apply to information that is public, already known, independently developed, or required to be disclosed by law.

7. Warranties & Limitation of Liability

We perform our services with reasonable skill and care and in a professional manner. Except as expressly stated in a signed agreement, our website and services are provided “as is” without warranties of any kind, whether express or implied, including fitness for a particular purpose.

To the maximum extent permitted by law, Vertekx is not liable for indirect, incidental, or consequential losses, or for loss of profits, data, or business. Our total aggregate liability arising from an engagement will not exceed the fees paid to us for that engagement in the three months preceding the event giving rise to the claim, unless a signed agreement states otherwise.

8. Term & Termination

Either party may terminate an engagement as set out in the applicable SOW, or with reasonable written notice where no term is specified. On termination, you agree to pay for all services performed and costs incurred up to the effective date. Provisions that by their nature should survive, including confidentiality, intellectual property, and limitation of liability, continue after termination.

9. Governing Law & Changes

These Terms are governed by the laws applicable at Vertekx’s principal place of business, unless a signed agreement specifies a different governing law. We may update these Terms from time to time; the effective date above reflects the latest version, and continued use of our website or services constitutes acceptance of the updated Terms.
